This EULA is between GenSkyTech ("Licensor") and the laboratory or entity activating a GenLIMS license ("Licensee").

1. Grant of license

Subject to payment and these terms, Licensor grants Licensee a non-exclusive, non-transferable license to use GenLIMS for its own laboratory operations, limited to the plan, modules, activation count, domains and validity period stated in the license.

2. Restrictions

Licensee shall NOT:

copy, distribute, resell, rent, sublicense or provide the software to any third party;
reverse engineer, decompile, decode or attempt to derive the source code of any protected part of the software;
remove, disable, tamper with or circumvent the license verification, code protection or signature mechanisms;
use one license for more installations than its activation limit.

3. Self-hosted installations

For self-hosted licenses, the software is delivered in protected (encoded) form together with a signed license file. Licensee controls the server and all laboratory data on it; Licensor retains all rights in the software itself.

4. Ownership

The software, its code, design and documentation remain the exclusive property of GenSkyTech. Laboratory data entered by Licensee remains the property of Licensee.

5. Term and termination

This EULA is effective until the license expires or is terminated. Licensor may revoke the license for material breach, including tampering with licensing or non-payment. On termination, Licensee must stop using the software; Licensee's data remains exportable as per the Privacy Policy.

6. Warranty and liability

The software is provided "as is". Licensor's total liability is limited to the license fees paid in the preceding three months. The laboratory remains solely responsible for the scientific accuracy of its testing and reports.

7. Governing law

This EULA is governed by the laws of India.
